(NASDAQ: BLDP) (TSX: BLDP) (“Ballard”, the “Company”), a global leader in hydrogen fuel cell technology, today announced that it has entered into a definitive agreement (the “Agreement”) to acquire GeoPura Limited (“GeoPura”), a zero-emission hydrogen-based power solutions provider (the “Transaction”). The Transaction consists of an upfront equity purchase price of £275.0 million (“Upfront Consideration”), funded through a combination of £82.5 million in Ballard cash on hand and the issuance of ~50.8 million Ballard common shares to GeoPura shareholders, at US$5.02 per share, based on Ballard’s 30-day volume-weighted average share price. In addition to the Upfront Consideration, Ballard will pay contingent consideration of up to £27.5 million if GeoPura achieves certain specified financial milestones after closing of the Transaction. The total transaction enterprise value1, including assumption of GeoPura net debt and excluding contingent consideration, is £301.1 million (~US$400 million).

COMPELLING STRATEGIC RATIONALE 

TRANSACTION TERMS AND FINANCING DETAILS 

Under the terms of the Agreement, Ballard will acquire 100% of GeoPura, including GeoPura’s 50% ownership in HyMarnham Power, for total Upfront Consideration of £275.0 million. The Upfront Consideration will be funded with £82.5 million in Ballard cash on hand, with the remainder to be funded through newly issued Ballard common shares provided to GeoPura shareholders, thereby maintaining Ballard’s strong balance sheet. The number of Ballard shares to be issued to GeoPura shareholders is ~50.8 million, calculated based on a 30-day volume-weighted average price of Ballard common shares preceding announcement of the Transaction. Upon closing of the Transaction, GeoPura shareholders are expected to own approximately 14.4% of Ballard on a pro-forma basis. GeoPura shareholders will also enter into customary lock-up agreements restricting the sale or transfer of their Ballard common shares for a specified period following the closing of the Transaction. 

In addition to the Upfront Consideration, Ballard will pay contingent consideration of up to £27.5 million if GeoPura achieves certain financial milestones after closing of the Transaction.

The Transaction has been unanimously approved by the Board of Directors of both Ballard and GeoPura and is subject to customary closing conditions for a transaction of this nature, including UK National Security and Investment Act filing and the approval of the TSX for the issuance of the Ballard common shares pursuant to the Transaction. La morsa del caldo non concede tregua alla Toscana, dove la colonnina di mercurio ha sfiorato la soglia dei 40 gradi. Le previsioni per le prossime giornate indicano che in due terzi del territorio regionale si continueranno a registrare temperature superiori ai 35 gradi. A fronte di questa emergenza, Coldiretti Toscana ha espresso soddisfazione per il recente via libera del Consiglio dei Ministri alla cassa integrazione per le sospensioni dell’attività lavorativa causate dalle temperature estreme. La sigla di categoria sottolinea come nei campi la salvaguardia della salute sia prioritaria e come le aziende si stiano già muovendo per rimodulare gli orari e proteggere i dipendenti dagli effetti del clima, considerati una manifestazione evidente dei mutamenti ambientali in corso.

I pericoli legati alle ore più calde, come colpi di calore, disidratazione e svenimenti, hanno spinto la Regione ad anticipare di quattro settimane un’ordinanza che rimarrà in vigore fino al 31 agosto. Il provvedimento impone il divieto assoluto di lavoro all’aperto dalle 12,30 alle 16,00 nei giorni in cui i bollettini indicano un livello di rischio ‘Alto’. Il blocco scatta per l’agricoltura, il settore florovivaistico, l’edilizia e il comparto lapideo.

Le misure di tutela prevedono la distribuzione di scorte idriche adeguate, l’allestimento di zone d’ombra per le soste e la fornitura di dispositivi protettivi come indumenti traspiranti e cappelli. FORTE DEI MARMI – I controlli intensificati in Alta Versilia da parte della Polizia di Stato hanno portato, nell’arco di poco più di una settimana, a tre arresti, diverse misure di allontanamento e all’identificazione di oltre mille persone. Le operazioni, coordinate dal Commissariato di Forte dei Marmi, si sono concentrate sul contrasto ai reati contro il patrimonio e sulla sicurezza pubblica, avvalendosi del supporto del Reparto Prevenzione Crimine di Firenze e della Polizia Locale.

Tra gli episodi di maggior rilievo figura l’arresto, avvenuto il 12 giugno, di un cittadino nordafricano proveniente dal Portogallo. L’uomo è accusato di aver derubato un turista irlandese mentre quest’ultimo rientrava in albergo in bicicletta: dopo averlo costretto a scendere dal mezzo, il giovane, affiancato da un complice, gli ha strappato dal polso un orologio Patek Philippe per poi tentare la fuga. Tre giorni più tardi, il 15 giugno, gli agenti hanno fermato un cittadino marocchino ritenuto responsabile di una serie di furti mattutini ai danni dei commercianti della zona.

Il terzo arresto risale invece al 21 giugno e riguarda la tutela delle vittime di violenza. Un cittadino italiano è stato sorpreso dalle volanti nei pressi di un locale frequentato dalla sua ex compagna durante l’orario dell’aperitivo. L’uomo ha così violato il divieto di avvicinamento disposto dal giudice nell’ambito di un procedimento per atti persecutori, finendo in manette.

Le attività di monitoraggio stradale hanno permesso di intercettare anche l’autore di un investimento avvenuto nella frazione di Fiumetto. Il 20 giugno le pattuglie hanno individuato e fermato il conducente e due passeggeri a bordo dell’auto coinvolta, consegnandoli poi ai Carabinieri per i provvedimenti del caso.

Sul fronte della prevenzione, le forze dell’ordine hanno allontanato alcuni soggetti ritenuti pericolosi attraverso lo strumento del ‘foglio di via’, un provvedimento che vieta il ritorno all’interno di un confine comunale. Due di questi divieti sono stati emessi a Forte dei Marmi: uno dei destinatari, con precedenti penali, è stato bloccato da agenti in borghese vicino a una villa dove poco prima era stata tentata una grave truffa telefonica contro una famiglia in vacanza. Una misura analoga è stata richiesta per il comune di Pietrasanta nei confronti di un giovane italiano, resosi protagonista di comportamenti minacciosi all’esterno di un locale da ballo.

Complessivamente, il piano di sicurezza attuato tra il 12 e il 21 giugno ha portato alla verifica di 296 veicoli e all’identificazione di 1.039 persone.

In high-GCR project modelling, the module can increase total installed capacity by 4.62% under identical land area and layout conditions. A 10-hectare project scenario in the UK designed with a 50% GCR showed: mainstream non-BC modules achieve 12.00MW installed capacity, whereas Hi-MO9 Prime achieves 12.56MW on the same plot. This results in an annual energy yield gain of approximately 648.4MWh, translating to more than €67,430 additional annual revenue for asset owners. 

Technological advances increase efficiency, structural reliability, and long-term performance 

Built on LONGi’s advanced HPBC2.0 (Hybrid Passivated Back Contact) cell architecture, the Hi-MO9 Prime marks a technological leap forward. By placing all electrical contacts on the rear of the cell, the front surface remains entirely unobstructed, maximizing light absorption and elevating long-term value for global large-scale deployments. It also delivers superior partial shading tolerance to protect asset owners’ revenue streams. Its highly parallel BC cell structure reduces electrical losses caused by localized shading from row-to-row obstructions, dust, fallen leaves, or other temporary objects. When a single cell is shaded, the Hi-MO9 Prime can reduce power loss by more than 70% compared with conventional non-BC modules.
