La Toscana si schiera contro il nuovo Decreto Casa del Governo. L’assessora regionale alle politiche abitative, Alessandra Nardini, ha partecipato a un presidio a Roma, in piazza Capranica, promosso dalle principali sigle sindacali degli inquilini. La protesta, condivisa con gli amministratori di altre cinque Regioni a guida centrosinistra, si è svolta nel giorno in cui l’esecutivo ha scelto di blindare il provvedimento ponendo la questione di fiducia in Parlamento.

Attraverso un documento congiunto firmato con i colleghi di Emilia-Romagna, Puglia, Umbria, Campania e Sardegna, Nardini ha bocciato l’impianto della manovra nazionale. Secondo i firmatari, il decreto non fornisce risposte strutturali all’emergenza abitativa, configurandosi come un testo lontano dalle difficoltà quotidiane di chi cerca un alloggio. Nel documento viene espresso rammarico per la mancata adesione delle Regioni governate dal centrodestra, che pur vivendo gli stessi problemi sui territori avrebbero rinunciato a partecipare per esclusive ragioni di schieramento politico.

Le critiche degli enti locali si concentrano sulla gestione dei fondi e sulle scelte operative. Gli assessori contestano la creazione della figura di un nuovo commissario straordinario con un compenso da 400mila euro l’anno. “Quello che manca all’Italia non è l’ennesimo Commissario straordinario, ma i fondi per far partire i cantieri e ristrutturare gli alloggi”, si legge nella nota. Le risorse messe a disposizione, pari a 970 milioni di euro spalmati su cinque anni, vengono considerate sufficienti a coprire appena un terzo dei 60mila recuperi edilizi annunciati dal ministero.

Un altro punto di forte dissenso riguarda l’azzeramento del fondo per la ‘morosità incolpevole’, lo strumento finanziario destinato a sostenere le famiglie che non riescono a pagare l’affitto per improvvise e comprovate difficoltà economiche. La cancellazione di questa misura, sottolineano le Regioni, scarica i costi sociali direttamente sui Comuni, in una fase storica che negli ultimi cinque anni ha visto i salari crescere del 12 per cento a fronte di un aumento dei canoni di locazione del 45 per cento. Vengono sollevati dubbi anche sulle norme rivolte ai costruttori privati, giudicate economicamente insostenibili nella maggior parte delle città.

Pur criticando l’approccio del Governo, le Regioni coinvolte si dichiarano pronte al dialogo istituzionale, avvertendo però che in assenza di un confronto reale l’esecutivo si assumerà la responsabilità del fallimento del piano abitativo.

La Regione Toscana avvia una campagna di monitoraggio per tracciare la presenza dei ‘Pfas’, le sostanze perfluoroalchiliche note anche come ‘inquinanti eterni’. Il progetto punta a raccogliere dati scientifici aggiornati sulle emissioni e sugli scarichi, coinvolgendo in prima linea le imprese del territorio e i gestori del servizio idrico.

L’iniziativa si articola in due percorsi volontari di raccolta e condivisione delle informazioni. L’obiettivo dell’ente è mappare l’impatto di queste sostanze chimiche sull’ambiente attraverso parametri omogenei e validati. Le indagini si concentreranno da un lato sulle installazioni produttive soggette all’Aia (Autorizzazione integrata ambientale, il provvedimento che regola gli impatti ambientali degli impianti industriali) e dall’altro sui sistemi di depurazione pubblici.

Il primo step operativo è fissato per il 29 giugno, con un incontro online rivolto alle aziende dotate di autorizzazione ambientale. Durante la riunione, organizzata con il supporto tecnico di Arpat e la collaborazione delle sedi territoriali di Confindustria, verranno definiti gli strumenti e le schede per la condivisione dei dati già a disposizione o da rilevare. Un secondo tavolo di lavoro si terrà il 1° luglio e sarà dedicato ai gestori dei depuratori, affiancati sempre da Arpat e da Cispel Toscana. In questa sede verranno stabiliti i criteri per coordinare le misurazioni in tutta la regione.

L’avvio di questi tavoli rappresenta la prima fase pratica di un’indagine più ampia approvata con una delibera dello scorso aprile, pensata per analizzare i settori produttivi più esposti a questo tipo di inquinanti.

L’assessore regionale all’ambiente David Barontini ha definito il perimetro dell’operazione: “Vogliamo costruire un quadro conoscitivo sempre più solido e trasparente, fondato su dati scientifici e sulla collaborazione tra istituzioni, sistema produttivo e gestori dei servizi pubblici”. Sottolineando come la misurazione del fenomeno sia il requisito fondamentale per programmare gli interventi a tutela dell’ecosistema e della salute pubblica, l’assessore ha rivolto un ringraziamento ad Andrea Rafanelli, a capo della Direzione tutela dell’ambiente ed energia della Regione, che ha strutturato e coordina le operazioni di tracciamento.

(NASDAQ: BLDP) (TSX: BLDP) (“Ballard”, the “Company”), a global leader in hydrogen fuel cell technology, today announced that it has entered into a definitive agreement (the “Agreement”) to acquire GeoPura Limited (“GeoPura”), a zero-emission hydrogen-based power solutions provider (the “Transaction”). The Transaction consists of an upfront equity purchase price of £275.0 million (“Upfront Consideration”), funded through a combination of £82.5 million in Ballard cash on hand and the issuance of ~50.8 million Ballard common shares to GeoPura shareholders, at US$5.02 per share, based on Ballard’s 30-day volume-weighted average share price. In addition to the Upfront Consideration, Ballard will pay contingent consideration of up to £27.5 million if GeoPura achieves certain specified financial milestones after closing of the Transaction. The total transaction enterprise value1, including assumption of GeoPura net debt and excluding contingent consideration, is £301.1 million (~US$400 million). 

The Transaction represents a transformative acquisition that establishes Ballard as a vertically integrated and capitally efficient energy-as-a-service (“EaaS”) provider with end-to-end capabilities spanning hydrogen production, distribution, logistics, refueling, fuel cells, and high-performance stationary power solutions.

COMPELLING STRATEGIC RATIONALE 

TRANSACTION TERMS AND FINANCING DETAILS 

Under the terms of the Agreement, Ballard will acquire 100% of GeoPura, including GeoPura’s 50% ownership in HyMarnham Power, for total Upfront Consideration of £275.0 million. The Upfront Consideration will be funded with £82.5 million in Ballard cash on hand, with the remainder to be funded through newly issued Ballard common shares provided to GeoPura shareholders, thereby maintaining Ballard’s strong balance sheet. The number of Ballard shares to be issued to GeoPura shareholders is ~50.8 million, calculated based on a 30-day volume-weighted average price of Ballard common shares preceding announcement of the Transaction. Upon closing of the Transaction, GeoPura shareholders are expected to own approximately 14.4% of Ballard on a pro-forma basis. GeoPura shareholders will also enter into customary lock-up agreements restricting the sale or transfer of their Ballard common shares for a specified period following the closing of the Transaction. 

In addition to the Upfront Consideration, Ballard will pay contingent consideration of up to £27.5 million if GeoPura achieves certain financial milestones after closing of the Transaction. 

The total transaction enterprise value1, including assumption of GeoPura net debt and excluding contingent consideration, is £301.1 million (~US$400 million).

The Transaction has been unanimously approved by the Board of Directors of both Ballard and GeoPura and is subject to customary closing conditions for a transaction of this nature, including UK National Security and Investment Act filing and the approval of the TSX for the issuance of the Ballard common shares pursuant to the Transaction. La morsa del caldo non concede tregua alla Toscana, dove la colonnina di mercurio ha sfiorato la soglia dei 40 gradi. Le previsioni per le prossime giornate indicano che in due terzi del territorio regionale si continueranno a registrare temperature superiori ai 35 gradi. Questo scenario da bollino rosso mette a rischio non solo le coltivazioni all’aperto, ma anche l’incolumità dei 50mila operai agricoli impegnati nei raccolti estivi di frutta, cereali e ortaggi, oltre che nelle attività tra i 60mila ettari di vigneti in vista della vendemmia.

A fronte di questa emergenza, Coldiretti Toscana ha espresso soddisfazione per il recente via libera del Consiglio dei Ministri alla cassa integrazione per le sospensioni dell’attività lavorativa causate dalle temperature estreme. La sigla di categoria sottolinea come nei campi la salvaguardia della salute sia prioritaria e come le aziende si stiano già muovendo per rimodulare gli orari e proteggere i dipendenti dagli effetti del clima, considerati una manifestazione evidente dei mutamenti ambientali in corso.

I pericoli legati alle ore più calde, come colpi di calore, disidratazione e svenimenti, hanno spinto la Regione ad anticipare di quattro settimane un’ordinanza che rimarrà in vigore fino al 31 agosto. Il provvedimento impone il divieto assoluto di lavoro all’aperto dalle 12,30 alle 16,00 nei giorni in cui i bollettini indicano un livello di rischio ‘Alto’. Il blocco scatta per l’agricoltura, il settore florovivaistico, l’edilizia e il comparto lapideo.

Le misure di tutela prevedono la distribuzione di scorte idriche adeguate, l’allestimento di zone d’ombra per le soste e la fornitura di dispositivi protettivi come indumenti traspiranti e cappelli. Parallelamente, le imprese stanno modificando i turni, trasferendo i compiti più gravosi nelle fasce mattutine, serali o, laddove possibile, ricorrendo alle ore notturne.
